Welcome to Kideloa. These Terms of Service ("Terms") govern your access to and use of the Kideloa platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Kideloa is designed for parents, guardians, and service providers. Children under 13 are not permitted to create accounts or use our Services directly.

• Using a social network login (Google, Facebook, Apple Sign-In)

When using social login, you authorize us to access certain information from your social network account as described in our Privacy Policy.

As a parent or guardian, you agree to:

• Supervise and monitor your children's interactions with service providers
• Communicate openly with service providers about your children's needs
• Make timely payments for services booked through the platform
• Treat service providers with respect and professionalism
• Report any safety concerns or inappropriate behavior immediately

4.2 Service Providers

As a service provider, you agree to:

• Provide accurate information about your qualifications and experience
• Maintain required certifications, licenses, and background checks
• Provide services professionally and in accordance with applicable laws
• Maintain appropriate liability insurance
• Protect children's safety and wellbeing at all times
• Respect family privacy and confidentiality
• Report progress and concerns to parents promptly
• Comply with all applicable laws regarding child safety and welfare

5. Services and Platform Usage

5.1 Platform Services

Kideloa provides a platform to:

• Connect families with childcare service providers
• Facilitate booking and scheduling of services
• Process payments between parents and providers
• Track children's progress and milestones
• Enable communication between families and providers
• Provide AI-powered matching and recommendations

5.2 Platform Relationship

IMPORTANT: Kideloa is a technology platform that facilitates connections between families and service providers. We are NOT a childcare provider, employer, or agent of service providers. The services are provided directly by independent service providers. We do not supervise, direct, or control the services provided. Users are responsible for evaluating and selecting appropriate service providers.

5.3 Prohibited Uses

You may NOT use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or inappropriate content
• Harass, threaten, or intimidate other users
• Impersonate any person or entity
• Attempt to gain unauthorized access to our systems
• Use automated systems (bots, scrapers) without permission
• Circumvent security measures or payment systems
• Collect user information without consent
• Use the platform for any unlawful purpose

6. Payments and Fees

6.1 Service Fees

Service providers set their own rates for services. Kideloa may charge platform fees or subscription fees as disclosed during the booking process. All fees are in USD unless otherwise stated.

6.2 Payment Processing

Payments are processed through third-party payment processors (Stripe, PayPal). By providing payment information, you authorize us to charge the applicable fees. You agree to:

• Provide accurate and complete payment information
• Update payment information if it changes
• Pay all charges incurred under your account
• Be responsible for all applicable taxes

6.3 Cancellations and Refunds

Cancellation policies are set by individual service providers. Refunds, if applicable, will be processed according to the provider's cancellation policy. Platform fees may be non-refundable. Disputes should be resolved directly between parents and providers, though we may assist in mediation.

6.4 Subscription Services

If you subscribe to premium features, your subscription will automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings.

7. Background Checks and Vetting

While we may verify certain information about service providers (identity, credentials, background checks), we do not guarantee the accuracy, completeness, or reliability of such information.

Parents are solely responsible for:

• Conducting their own due diligence on service providers
• Verifying credentials, references, and qualifications
• Ensuring the safety and supervision of their children
• Making informed decisions about service providers

8. Content and Intellectual Property

8.1 Platform Content

All content on the Kideloa platform, including text, graphics, logos, designs, and software, is owned by Kideloa or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 User Content

You retain ownership of content you submit (reviews, messages, photos, progress notes). By submitting content, you grant Kideloa a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with operating and promoting our Services.

You represent that you have the right to submit all content and that your content does not violate any third-party rights or applicable laws.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about our Services become our property, and we may use them without compensation or attribution to you.

9. Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

By using social login features, you consent to our collection and use of information from your social network accounts as described in our Privacy Policy.

10. Disclaimers and Limitations of Liability

10.2 No Guarantee

WE DO NOT WARRANT OR GUARANTEE:

• The quality, safety, or legality of services provided by service providers
• The accuracy or reliability of provider profiles or reviews
• That the Services will be uninterrupted, secure, or error-free
• That defects will be corrected
• The accuracy of AI matching or recommendations

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIDELOA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Services
• Any conduct or content of service providers or other users
• Unauthorized access to your account or data
• Any services provided by third-party service providers

IN NO EVENT SHALL KIDELOA'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO KIDELOA IN THE 12 MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kideloa and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Services provided or received through the platform
• Your content or conduct on the platform

12. Dispute Resolution

12.1 Informal Resolution

If you have a dispute with Kideloa, please contact us at support@kideloa.com to attempt to resolve the matter informally before pursuing formal action.

12.2 Arbitration Agreement

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except as otherwise provided in these Terms. You agree to waive your right to a jury trial and to participate in class actions.

12.3 Exceptions

Either party may seek injunctive or equitable relief in court for intellectual property infringement or unauthorized access to the Services.
